BUSINESS & CORPORATE TRANSACTIONS

▪ Advise start-ups, emerging companies and entrepreneurs in business formation.
▪ Advise clients on a broad range of corporate transactions, including mergers, acquisitions, joint ventures, strategic alliances, corporate restructuring, commercial lending transactions and private placements.
▪ Manage (negotiation, drafting, and legal implementation) commercial transactions relating to clients’ domestic and international licensing agreements, nondisclosure agreements, distribution and services agreements, purchasing agreements, and marketing agreements.

▪Submit and prosecute trademark applications.

Outside General Counsel

▪ Supplement in-house legal and compliance teams and provide general counsel to corporate clients on business matters including contract drafting and negotiation, intellectual property, privacy, employment and labor law matters, insurance matters, real estate transactions, licensing matters, and workplace policies and procedures.
